The terms that apply when you visit the Elvio website or contact us about a potential project.

1. About these terms

These Terms and Conditions govern your access to and use of tryelvio.com and its public pages (the “Website”). By accessing or using the Website, you agree to these terms. If you do not agree, please do not use the Website.

The Website is operated under the Elvio brand by Araa Software Solutions (“Elvio,” “we,” “us,” or “our”).

2. Website purpose

The Website provides general information about Elvio, our capabilities, and the types of implementation work we may undertake. Website content is provided for general informational purposes and is not professional, legal, accounting, financial, cybersecurity, or other regulated advice.

Nothing on the Website constitutes a binding offer, guarantee, quotation, or commitment to perform services. Sending an inquiry or discussing a potential project does not create a client, agency, partnership, fiduciary, employment, or other professional relationship.

3. Project engagements

Any services Elvio agrees to provide will be governed by a separate written proposal, statement of work, service agreement, order form, or other contract accepted by the relevant parties (a “Project Agreement”). A Project Agreement may address scope, deliverables, responsibilities, timelines, fees, payment terms, intellectual property, confidentiality, warranties, support, and liability.

If these Website Terms conflict with a Project Agreement, the Project Agreement controls for that engagement.

4. Your responsibilities

You agree to use the Website only for lawful purposes. You must not:

  • Attempt to gain unauthorized access to the Website, its servers, accounts, systems, or data;
  • Interfere with the Website’s availability, integrity, security, or operation;
  • Introduce malware, malicious code, automated attacks, or harmful material;
  • Scrape, harvest, or extract information in a manner that imposes an unreasonable load or circumvents technical controls;
  • Misrepresent your identity, authority, affiliation, or intentions; or
  • Use Website content in a way that infringes intellectual property, privacy, or other legal rights.

5. Inquiries and communications

You are responsible for ensuring that information you send to us is accurate and that you have authority to disclose it. Please do not send passwords, production credentials, payment-card details, health information, government identifiers, trade secrets, or other highly sensitive information through an initial email inquiry.

Unless we have entered into a separate confidentiality agreement, an unsolicited inquiry is not treated as creating a confidential or fiduciary relationship. We will nevertheless handle personal information as described in our Privacy Policy and in accordance with applicable law.

6. Intellectual property

The Website and its original text, visual design, graphics, branding, software, arrangement, and other content are owned by or licensed to Araa Software Solutions and are protected by applicable intellectual-property laws. “Elvio” and associated brand elements may not be used in a way that suggests endorsement, affiliation, or authorization without our written permission.

You may view the Website and make reasonable internal copies for evaluating our services. You may not reproduce, republish, sell, license, modify, distribute, or commercially exploit substantial Website content without prior written permission, except where applicable law permits.

7. Case studies and third-party materials

Case studies describe selected work and context. They are illustrative and do not promise that another project will achieve the same result. Results depend on each client’s situation, decisions, data, people, systems, dependencies, and operating environment.

Any third-party names, trademarks, software, or materials remain the property of their respective owners. Their appearance does not imply endorsement unless expressly stated.

8. Third-party websites and services

The Website may link to third-party websites or services for convenience. We do not control and are not responsible for their content, security, availability, practices, or terms. Accessing a third-party service is at your discretion and subject to that provider’s terms and policies.

9. Website availability and changes

We may update, suspend, restrict, or discontinue any part of the Website at any time. We aim to keep the Website useful and secure, but we do not guarantee uninterrupted access, error-free operation, or that all content will always be current or complete.

10. Disclaimers

To the fullest extent permitted by applicable law, the Website is provided on an “as is” and “as available” basis. We disclaim implied warranties relating to the Website, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability.

Nothing in these terms excludes a warranty, right, remedy, or obligation that cannot lawfully be excluded. Service-specific warranties, if any, will be stated in the applicable Project Agreement.

11. Limitation of liability

To the fullest extent permitted by law, Elvio and Araa Software Solutions will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss arising from use of, or inability to use, the Website, including loss of profit, revenue, opportunity, goodwill, anticipated savings, or data.

These limitations apply only to the Website and preliminary inquiries. Liability relating to paid services is governed by the applicable Project Agreement. Nothing in these terms limits liability that cannot legally be limited, including liability arising from fraud, wilful misconduct, or any other matter for which exclusion is prohibited by law.

12. Privacy

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information when you visit the Website or communicate with us.

13. Governing law and disputes

These terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles. Before starting formal proceedings, the parties should attempt in good faith to resolve a dispute by contacting the other party and allowing a reasonable opportunity to respond.

Subject to rights and remedies that cannot be waived under applicable law, disputes relating to the Website will be submitted to the competent courts of Quezon City, Philippines.

14. General provisions

If any provision of these terms is held invalid or unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. You may not transfer your rights or obligations under these terms without our consent. Headings are included for convenience and do not affect interpretation.

15. Changes to these terms

We may revise these terms to reflect changes to the Website, our practices, or applicable law. The effective date shown above identifies the current version. Your continued use of the Website after an updated version takes effect constitutes acceptance of the revised terms.
